LISTEN Terms of Service

Article 1. Application

These Terms govern LISTEN and related services (collectively, the “Service”) provided by OND Inc. (“OND”). Registered users must agree to and use the Service in accordance with these Terms. Guidelines, help pages, notices, and other rules posted on the Service form part of these Terms.

Article 2. Additional Terms

OND may establish additional terms for individual features or services. Those terms apply in addition to these Terms and prevail for the relevant feature if they conflict. Use of rooom is also governed by the rooom Additional Terms.

Article 3. Registration

Applicants must agree to these Terms and the Privacy Policy and provide accurate, current information. OND may reject registration where information is false or incomplete, the applicant was previously suspended, is connected with antisocial forces, or OND otherwise reasonably considers registration inappropriate.

Article 4. Minors

The Service is generally intended for persons aged 12 or older. Users under 18 must obtain consent from a legal representative. Revenue-generating features may be limited by additional terms to persons aged 18 or older or those with legal-representative consent.

Article 5. Account Management

Users must securely manage their credentials and may not transfer, lend, share, or pledge accounts. Except where attributable to OND, activity through an account is treated as the account holder’s activity. Unauthorized use must be reported promptly.

Article 6. User Content

Rights in content uploaded by users remain with the user or legitimate owner. Users grant OND the rights necessary to provide, distribute, display, store, convert, back up, promote, and improve the Service. Users warrant that they hold the necessary rights. OND may suspend or remove content that it reasonably determines violates applicable rules or law.

Article 7. Paid Services and Fees

OND may provide paid plans, content sales, memberships, gifts, event tickets, and other paid features. Prices and fees are displayed on the relevant page or in additional terms. The LISTEN system fee remains 20% for paid episodes and gifts and 10% for event tickets; rooom is subject to the rooom Additional Terms. OND may deduct system fees, refunds, chargebacks, and other authorized amounts before payment. Necessary and reasonable fee changes will be announced in advance where unfavorable and do not apply retroactively unless expressly stated. Before a recurring purchase is confirmed, the price, billing cycle and timing, trial terms, service period, automatic renewal, cancellation method and deadline, and refund terms are displayed.

Article 8. Payments and Revenue

  1. Payments use OND-designated processors and their applicable terms.
  2. Revenue recipients must complete creation, identity verification, and bank registration for their Stripe connected account.
  3. Where the same connected account is used, available JPY balances from rooom memberships, paid episodes, gifts, event tickets, and other Service revenue are combined for payout eligibility. Fees, sales, and transaction histories remain separately calculated and displayed, and the rooom fee does not apply to other LISTEN revenue.
  4. OND initiates payouts of available JPY balance on the 15th of each month at 03:00 JST. Bank arrival may vary due to Stripe and financial-institution processing.
  5. An available balance of at least JPY 5,000 is paid in full. A smaller balance carries forward, except it becomes eligible when waiting until the next monthly run would exceed 90 days from the oldest unpaid sale becoming available.
  6. Pending, disputed, unconfirmed, non-positive, and non-JPY balances are excluded from normal automatic payouts.
  7. Identity checks, disabled payouts, missing or incorrect bank details, legal or processor review, outages, or other circumstances beyond OND’s reasonable control may delay payout. OND will notify the recipient of the reason and required action where practicable.
  8. Refunds, reversals, chargebacks, fraud, or failed transfers may be deducted from unpaid or future revenue, recovered from the recipient, or carried forward. Payouts may be held for reasonable investigations.
  9. User-requested manual withdrawals are not offered. Normal payouts are automatic and carry no additional payout fee.

Article 9. Prohibited Conduct

Users must not violate law or public order; facilitate crime; infringe rights; publish deceptive information; harass, threaten, discriminate, or defame; disrupt the Service; gain unauthorized access or transmit harmful programs; misuse personal information; impersonate others; misuse payments or transfer funds unlawfully; violate applicable app-store policies; violate these Terms; or engage in conduct OND reasonably considers inappropriate.

Article 10. Suspension and Termination

OND may suspend content or use, hold payouts, or terminate registration for violations. Where not urgent, OND will endeavor to give notice and an opportunity to correct the issue. Obligations concerning payment, refunds, and settlement survive suspension or termination.

Article 11. Service Changes and Suspension

OND may change the Service and temporarily suspend it for maintenance, outages, disasters, communications failures, legal requests, or other unavoidable circumstances. Material changes or termination will be announced with reasonable advance notice where practicable.

Article 12. Account Closure

Users may close accounts through the designated procedure. These Terms continue as necessary for pending purchases, recurring charges, refunds, or revenue settlement. Post-closure handling of content and data is subject to separately displayed conditions.

Article 13. Disclaimer and Liability

OND does not warrant uninterrupted service, fitness for a particular purpose, or correction of every defect. OND is not liable for damage not attributable to OND. For damage caused by OND’s ordinary negligence, liability is limited to direct and ordinary damage and the greater of fees paid by the user during the preceding 12 months or JPY 10,000. These limits do not apply to intentional or gross negligence, death or personal injury, or where prohibited by law, and do not unlawfully restrict statutory rights.

Article 14. Personal Information

OND handles personal information in accordance with the Privacy Policy.

Article 15. Amendments

OND may amend these Terms under Article 548-4 of the Civil Code where an amendment benefits users generally or is reasonable in light of the contract’s purpose, necessity, appropriateness, and related circumstances. OND will announce the amended terms and effective date before they take effect.

Article 16. Governing Law and Jurisdiction

These Terms are governed by Japanese law. The Kyoto District Court has exclusive jurisdiction as the court of first instance, except where applicable law permits otherwise.
